Terms of Service

By using the services provided by Artificial Intelligence Innovation Alliance LLC ("AIIA", "we", "us", "our"), you agree to the following terms. If you do not agree, do not use our services.

1. Ownership & Licensing

AIIA owns all work product. This includes websites, courses, tools, code, designs, content, and any other deliverables created by AIIA on your behalf.

When you purchase a service, you receive a license to use the work for as long as your subscription is active. This license is non-transferable and non-exclusive.

AI Disclosure: AIIA uses artificial intelligence tools, including Claude by Anthropic, to build client deliverables. All AI-generated output is owned by AIIA and treated the same as human-created work. This is disclosed transparently.

Portfolio Rights: AIIA retains the right to showcase any client work in its portfolio, case studies, and marketing materials.

2. Cancellation & File Transfer

If you cancel your subscription:

• Your website goes offline, as it is hosted on AIIA's infrastructure
• You will receive a copy of: HTML, CSS, JavaScript source code, and any images or content you originally provided
• AIIA-exclusive tools are revoked: IITC calculator, TGD integrations, ATC portal, AIIA branding, Autopilot systems, and any other proprietary AIIA features
• Source files are provided as-is. AIIA is not obligated to provide hosting, setup assistance, or support after cancellation
• No refund is issued on remaining subscription time

The client may not resell, redistribute, or sublicense any AIIA-created work.

3. Hosting & Backups

All client websites are hosted on AIIA's infrastructure (Netlify). Clients do not receive backup copies of their site during an active subscription. All files remain on AIIA systems.

If a website is lost due to infrastructure failure:

• AIIA will rebuild a replacement website at no additional cost
• The replacement is not guaranteed to match the original — it will be a functional equivalent built to current AIIA standards
• The client accepts the replacement as-is

AIIA maintains backups as a matter of good practice, but the client is aware that all files reside solely on AIIA's systems during the subscription period.

4. Updates & Maintenance

• AIIA-exclusive tools (IITC, TGD, ATC portal, security patches, AIIA branding) may be updated at any time without client notice
• Client-specific content (design, copy, images, layout) — AIIA will suggest changes and wait for client approval before applying them
• Security and maintenance patches are applied immediately to protect all clients

5. ATC (AIIA Token Credits)

• 1 ATC = up to 1 hour of any AIIA service
• ATC expire 30 days from purchase — no rollover, no extensions, no refunds on unused or expired ATC
• Prices increase by demand. Subscriptions lock in the current rate at the time of purchase
• ATC cannot be transferred except through the Friend Links feature in the AIIA dashboard
• Quick tasks that take less than one hour still consume one full ATC

6. Money-Back Guarantee

AIIA offers a full money-back guarantee on all services:

• If we cannot solve your crypto, trading, wallet, or digital account problem within 30 days of purchase, you receive a full refund
• Once work is delivered and approved by the client, the guarantee no longer applies
• The guarantee applies to the specific service purchased, not to bundled ATC or subscriptions

7. Payments & Disputes

All payments are processed through Stripe. By purchasing AIIA services, you agree to:

• Contact AIIA directly before initiating any bank or Stripe dispute
• If a chargeback is filed without first contacting AIIA, all services are immediately suspended — websites go offline, ATC are frozen, and subscriptions are paused
• Services are restored only after the dispute is resolved in AIIA's favor
• AIIA maintains records (emails, deliverables, timestamps, approvals) for all dispute responses

8. Liability

• Liability is capped at the total amount paid by the client in the last 30 days
• AIIA is not liable for indirect, incidental, special, or consequential damages — including but not limited to lost revenue, lost data (from third-party failures), or business interruption
• Force Majeure: AIIA is not liable for failures caused by events outside its control, including natural disasters, third-party service outages (Netlify, Supabase, Stripe, Google), internet failures, or government actions
• Indemnification: If a client uploads illegal, copyrighted, defamatory, or harmful content to their AIIA-built website, the client is solely responsible for all legal consequences
• No Warranty of Results: AIIA builds websites and provides services to a professional standard, but does not guarantee specific business outcomes such as leads, revenue, conversions, or traffic

9. AIIA Branding

All websites built by AIIA include an AIIA branding link in the footer using the official 4-color gradient. This link remains on the website for the duration of the subscription and is considered part of the AIIA-exclusive features that are removed upon cancellation.

10. Age Requirement

You must be 13 years or older to use AIIA services. Users under 18 should have parental awareness of any purchases made. Stripe handles payment authorization and may have its own age requirements.

11. Account Deletion

You may delete your account and associated data at any time through the self-serve deletion feature in your AIIA dashboard. Deletion is immediate and automated. See our Privacy Policy for full details on data retention.

12. Affiliate Program

The AIIA Affiliate Program allows approved individuals to earn commissions by referring new clients to AIIA services. By participating, you agree to the following:

• Approval required — All affiliates must be personally approved by AIIA before acceptance into the program. Submitting an application does not guarantee acceptance.
• Commission structure — Affiliates earn 10% of the discounted sale price on all referred purchases. Referred clients receive a 10% discount. Commissions are lifetime recurring on all products except Alliance deployments.
• Termination — AIIA reserves the right to approve, deny, or terminate any affiliate at any time, for any reason, without prior notice. Upon termination, all pending commissions will be paid out. Only future commissions cease. Participation in the AIIA Affiliate Program is a privilege, not a right.
• FTC disclosure — Affiliates must clearly disclose their financial relationship with AIIA in all promotions, posts, messages, and content where they recommend AIIA services. Failure to disclose is a violation of FTC regulations and AIIA policy.
• No misrepresentation — Affiliates may not make claims about AIIA services that are not stated on the official AIIA website. Exaggerating results, guarantees, or capabilities is prohibited.
• No unauthorized advertising — Affiliates may not run paid advertisements using the "AIIA" name, logo, or branding without written permission from AIIA.
• One violation = immediate removal — Any violation of these affiliate terms results in immediate termination from the program with no warning.
• Alliance exclusion — The Alliance product ($50,000 deployment + $30,000/mo) is excluded from the affiliate program. No commissions are earned on Alliance referrals.

13. Modifications to These Terms

AIIA may update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of AIIA services after changes constitutes acceptance of the updated terms. For material changes, we will notify active clients by email.

14. Governing Law

These Terms are governed by the laws of the State of Hawaii, USA. Any disputes arising from these terms or AIIA services will be resolved in the courts of Hawaii.
